This section is responsible for the registration of Companies and Business Names. The required documents are completed and submitted for filing together with the prescribed fee in accordance with the Companies Act or/and the Registration of Business Names Act.
Who can register a company?
Section 4 of the Companies Act states that no individual who is less than eighteen (18) years of age, is of unsound mind and has been so found by a tribunal in Grenada or elsewhere; or has the status of a bankrupt shall form or join in the formation of a company.
What are the required documents for registering a company for profit /not for profit?
One or more persons may incorporate a company by signing and sending the following documents to the Registrar of Companies:
- Request for Name Search and Name Reservation
- Articles of Incorporation
- Notice of Directors
- Notice of Address
Note: The Honourable Attorney General must approve the Articles of Incorporation of a non-profit company prior to its registration.
Request for name Search and Name Reservation - EC$10
Submission of Articles of Incorporation for profit - EC$1200
Submission of Articles of Incorporation not for profit - EC$100
Registering as a sole proprietor, partnership or firm
The Registration of Business Names Act states that any person who has a place of business in Grenada and carries on business under a name which is not the true name of that person shall apply for registration of the business by submitting Statement of Particulars of the business to the Registrar which includes the following:
- The contact details of the applicant;
- The proposed business name
- The nature of the business
- The address of the business
- The ownership of the business
- The date of commencement of the business
Note: the individual(s) must not be less than 18 years of age.
Prescribed fee for registration: EC$25
Notification of Changes
Any changes made regarding the information provided above, the Registrar shall be notified within 14 days of the occurrence of the change.
Cancellation of Registration
The Registrar may cancel the registration of a business name on receipt of an application by the owners to do so OR if the Registrar has reason to believe that the business has ceased operation OR if the same or similar name is already listed in the Register of Business Names.
